About the role

As a member of the legal team of Georgia Capital, you will gain exposure to the business transactions of the Group with a particular focus on corporate law, business law, and M&A. 

You will work collaboratively, inter alia, with the members of the legal and finance teams of Georgia Capital.

You will provide legal support in different areas inclusive of:

• Corporate law-related matters, including corporate and capital restructurings, standardization of corporate documentation for the Group companies in accordance with the Law of Entrepreneurs; 
• M&A – assisting the Group General Counsel and Senior Corporate Lawyer in the management of transaction executions, drafting, revising and negotiating terms of MoUs, SPAs, and Shareholders’ Agreements, and, if needed, submission of relevant applications to the National Competition Agency regarding concentrations;
• Drafting, revising, negotiating and analyzing various legal agreements and other documents for the daily operations of the company, including service agreements, intermediary agreements, purchase agreements and NDAs;
• Monitoring and analyzing legislative amendments applicable to the Group, ensuring compliance of the Group with the applicable legislation;
• Assisting the company and the Group companies on other matters under Georgian law, on a case-by-case basis.

About you

We are looking for a driven and motivated independent thinker, an excellent team player with the following skillset:

• Bachelor’s degree in Law, with excellent academic & professional track record;
• At least 1 year of relevant experience, preferably from a reputable law firm, commercial bank, financial institution or other similar private organization, with a proven background in business and corporate law;
• A degree from a foreign academic institution will be a plus;
• Strong verbal and written communication skills;
• Strong presentation skills, and ability to articulate clear ideas/strategies;
• Ability to work accurately under pressure, exercise good business judgment and handle deadlines;
• Fluency in both English and Georgian languages;
• A license to practice law in Georgia is preferred but not required.
